The Access Bank Plc and Intercontinental Bank Plc merger

PUC acted as legal counsel to Intercontinental Bank for the transaction. Sale and Purchase of CDMA business and the purchase of minority shareholding in the fixed wireless business of Multilinks Nigeria limited by Visafone Communications Limited.

PUC conducted comprehensive legal due diligence on the business of the company, advising on structure of the transaction, involved in the review and negotiation of all transaction documents for the Buyer. Sale and Lease Back of BTS Sites of Visafone Communications Limited to Helios Towers Nigeria. The BTS sites were valued at USD73 Million. Legal and regulatory consultancy to the Nigerian Communications Commission (NCC) for the introduction and sustenance of Number Portability in Nigeria and the operations of the Number Portability Clearing house.

USD120 Million Syndicated Loan transaction.

Tola was the transaction manager for the team that acted as Lenders’ Counsel for Nigeria to the financiers (comprising of DFIs and local commercial banks) that advanced facilities to Main One Cable Company limited for development of a 12,378 kilometre submarine optic fibre cable with landing stations in Lagos, Ghana and Portugal. N61 Billion Medium Term Financing advanced by a consortium of Nigerian commercial banks to the Concessionaire of a PPP arrangement for the Construction, Development, Finance, and transfer of integrated civil infrastructure in the Katampe District, FCT Abuja.

USD540 Million Syndicated Bridge Loan provided by 5 commercial banks in Nigeria for the acquisition of the downstream operations of Chevron Texaco in 5 West African countries by MRS Oil.

US$76,047,536.00 Exim Bank-guaranteed loan facility granted by Private Export Funding Corporation (“PEFCO”) of USA to Union Bank of Nigeria for financing the purchase by Arik Air Limited (“Arik”) of 3 Boeing 737-700 aircraft. GBP42,000,000.00 ECGD guaranteed bridge loan facility granted by HSBC to the Cross River State Water Board (CRSWB) for financing of the construction of 3 water schemes in Cross River State.

PUC reviewed and negotiated all the finance documents. US$37,782,000.00 Exim Bank of USA guaranteed loan facility granted by HSBC Bank Plc to First Bank of Nigeria Plc for financing the acquisition of a Boeing 737-800 aircraft by Arik. US$76,500,000.00 granted to Arik Air by Africa Export-Import Bank for the financing and subsequent re-financing of 2 Boeing 737-800 aircrafts.

Tola constantly advises banks and shipping companies on ship sale and purchase transactions, mortgage registration, cabotage registration and charterparties.

Tola is also a key member of the team that advised a pioneer indigenous independent Power Producer and its Distribution Company (Geometric Power Group) from start-up through securing financing from DFIs (IFC) to its infrastructural development and project commissioning stages. PUC continues to advice the Group on legal issues arising from power sector related dealings.
